2) Purpose and scope of application
These terms and conditions govern access to and use of the site, as well as the electronic contracting of products (hardware/software) and professional services (telecommunications, IT, and cybersecurity). For B2C (consumer) products, consumer protection regulations also apply; for B2B products, these terms and conditions apply, and, additionally, the Commercial Code and Civil Code. BOE
3) Purchasing process (eCommerce)
- Steps: cart → data → summary (with the possibility of correcting errors) → acceptance of T&C and privacy policy → payment → email confirmation .
 - Archive: We save the electronic contract; the customer can view their history in "My Account."
 - Languages: at least Spanish (if another language version exists, Spanish prevails in case of discrepancy).
 - Minimum age: 16 years for registration and 18 years for contracting.
 
4) Prices, taxes and billing (IPSI/VAT)
- Ceuta: Local sales are taxed with IPSI , in accordance with the IPSI Tax Ordinance (OASTCE). tributosceuta.org+1
 - Shipments to the Peninsula/Balearic Islands/EU: Ceuta is not in the EU's VAT or customs territory. Shipments between Ceuta and the Peninsula/Balearic Islands require customs clearance (DUA) and import taxes , which may be settled by the logistics operator and passed on to the recipient , unless expressly indicated at checkout. We show taxes based on the delivery address; if applicable, clearance/DUA fees will be indicated before payment or charged by the carrier upon delivery. Tax Agency+1
 - Invoices: are issued electronically (IPSI or VAT as appropriate).
 
5) Availability, preparation and shipping
We work with our own inventory and dropship with wholesalers. The availability and delivery times shown are estimates until order confirmation. If the supplier reports a stock shortage or significant delay, we will offer you an alternative, a new delivery date, or a full refund .
6) Delivery and transfer of risk
- B2C: Risk is transferred upon delivery to the consumer.
 - 
B2B: Unless otherwise agreed, risk passes to the carrier upon delivery (INCOTERM applies). 
Check the condition of the packaging upon delivery and note any visible damage on the delivery note . 
7) Right of withdrawal (B2C only)
You have 14 calendar days from delivery to withdraw without giving a reason. Manage your request from your account or by writing to administracion@nexusspsolutions.com . You must return the product in perfect condition, with accessories and original packaging. Return costs: borne by the customer, except in cases of defect/error .
Legal exceptions : customized products , unsealed software/media , licenses/digital products once downloaded/activated, unsealed consumables, services fully executed with your consent, etc. (TRLGDCU). BOE
8) Returns (RMA) and DOA
- RMA (warranty/non-conformity): We will open a ticket and provide you with the return address (usually the dropshipping supplier's warehouse ).
 - 
DOA (Dead on Arrival): If the product arrives defective, please notify us within 48/72 hours for a replacement or refund after verification. 
In all cases, we will provide a label or shipping instructions. 
9) Legal and commercial guarantees
- B2C (consumer): Minimum legal warranty of 3 years for new goods (from 01/01/2022 in Spain); for digital content/services , 2 years . The consumer can demand repair or replacement , and if this is not possible or proportionate, a price reduction or resolution . Spare parts: Extended availability in Spain. B2B: This applies to the manufacturer's/wholesaler's commercial guarantee and the terms and conditions agreed in the offer/order.

10) Professional services (ICT/Engineering/Consulting)
- Hiring: through a quote/Offer (Odoo) and/or Service Order/Agreement that includes scope , deliverables , resources , deadlines and price/rate .
 - Scope and changes: Any request outside the scope will be processed as a change (new offer).
 - Customer obligations: access, information, permissions, availability, and environment prepared; otherwise, deadlines will be adjusted and delayed wait times will be incurred .
 - Acceptance: by certificate of conformity , putting into production or use.
 - SLA/support: as agreed in the specific agreement (if applicable).
 - Intellectual property: Unless otherwise agreed, the documentation provided is for the client's use; the know-how and tools ( scripts, templates ) are NEXUS's, licensed only to the project.
 
11) Software and licenses
For third-party software and licenses (operating systems, suites, security, etc.), the licensor's terms and conditions apply . Activation or use implies acceptance.
12) Payments, security and default
Accepted methods: those shown at checkout and/or in the offer (card, bank transfer, etc.). We may use anti-fraud systems and suspend/cancel orders if a risk is detected. B2B late payment: statutory interest and recovery costs in accordance with the law. Retention of title: Ownership is transferred upon full payment .
13) Customs, DUA and tariffs (Ceuta ↔ Peninsula/EU)
Shipments between Ceuta and the Peninsula/Balearic Islands require customs clearance (DUA) . The logistics operator may process and pass on the costs/taxes to the recipient, unless otherwise indicated. We will inform you of estimated amounts when provided by the carrier; if this is not possible, the operator will notify you before delivery. Correos+1
14) Limitation of liability
We will not be liable for lost profits , lost data , or indirect damages arising from the use of our products or from service interruptions beyond our reasonable control (third-party failures, power outages, cyber incidents, force majeure). In B2B, total aggregate liability is limited to the amount actually paid by the customer for the order/service giving rise to the claim.
15) Privacy, security and cookies
Data processing is governed by the Privacy Policy and Cookie Policy , with a rights channel at privacidad@nexusspsolutions.com . We apply proportional measures (access control, MFA, encryption, backups, incident management).

Out-of-court settlement (ADR): The European ODR platform was discontinued on July 20, 2025 ; updated information on consumer complaints and redress in the EU is available from the European Commission (Consumer Redress). 17) Partial nullity
The nullity or ineffectiveness of any clause will not affect the rest.
18) Legislation and jurisdiction
This contract is governed by Spanish law .
- B2C: mandatory legal jurisdiction.
 - B2B: the parties submit to the Courts and Tribunals of Ceuta .
